1. Agreement to Terms

By accessing or using Ivy Tutoring's services ("Services"), including our website at www.ivytutoring.net, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

Ivy Tutoring provides personalized educational tutoring services, including but not limited to:

• One-on-one tutoring sessions for standardized test preparation (SAT, ACT, MCAT, USMLE Step 1, Step 2CK)
• Academic subject tutoring (AP Exams and other subjects)
• Online tutoring sessions via video conferencing
• Study materials and resources
• Progress tracking and performance analysis

3. Eligibility

Our Services are available to individuals of all ages. If you are under 18 years of age, you must have your parent or legal guardian's permission to use our Services. By using our Services, you represent that you have such permission or are of legal age to enter into these Terms.

4. Registration and Account

To use certain features of our Services, you may be required to provide information including your name, email address, phone number, and payment information. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account

5. Pricing and Payment

Pricing Plans

We offer various pricing plans:

• Pay-As-You-Go: Pay for individual sessions
• Session Bundles: Purchase packages of 10 or 20 hours
• Score Guarantee Programs: Comprehensive packages with performance guarantees

Payment Terms

• All prices are in U.S. Dollars (USD)
• Payment is processed through Stripe, our secure payment processor
• For pay-as-you-go, payment is due before each session
• For bundles and packages, payment is due at time of purchase
• Prices are subject to change with 30 days' notice

Refund Policy

• Pay-As-You-Go: Full refund if cancelled more than 24 hours before scheduled session
• Session Bundles: Unused sessions may be refunded within 30 days of purchase, minus sessions already completed
• Score Guarantee Programs: If you don't achieve the guaranteed score after completing all requirements, we will provide additional tutoring at no cost until you achieve the score or issue a full refund

6. Scheduling and Cancellation

Scheduling

Sessions are scheduled through our booking system or by contacting us directly. We will make reasonable efforts to accommodate your preferred schedule.

Cancellation by Student

• More than 24 hours before session: Free cancellation, no charge
• Less than 24 hours before session: Full session charge applies
• No-show: Full session charge applies

Cancellation by Ivy Tutoring

If we need to cancel a session, we will provide as much notice as possible and will not charge for the cancelled session. We will work with you to reschedule at your convenience.

7. Student Responsibilities

As a student using our Services, you agree to:

• Attend scheduled sessions on time and prepared
• Complete assigned homework and practice exercises
• Communicate openly with your tutor about challenges and progress
• Treat tutors with respect and professionalism
• Provide a quiet, distraction-free environment for online sessions
• Have necessary materials (calculator, study books, etc.) available
• Test your technology before online sessions

8. Score Guarantee Terms

Our Score Guarantee programs are subject to the following conditions:

• Student must attend all scheduled sessions
• Student must complete all assigned homework and practice tests
• Student must take the official exam within the agreed-upon timeframe
• Baseline score must be established through an official diagnostic test
• If guaranteed score is not achieved, we will provide additional tutoring at no cost
• Alternatively, a full refund may be requested if the score is not achieved after additional tutoring

9. Intellectual Property

All content provided through our Services, including but not limited to study materials, practice tests, videos, and proprietary teaching methods, is the intellectual property of Ivy Tutoring or its licensors. You agree to:

• Use materials solely for personal educational purposes
• Not reproduce, distribute, or share materials with others
• Not reverse engineer or copy our teaching methods
• Return or destroy all materials upon completion of services

10. Prohibited Conduct

You may not:

• Use the Services for any illegal purpose
• Harass, abuse, or harm tutors or other users
• Impersonate another person or entity
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our Services
• Share login credentials with others
• Use the Services to cheat on exams or assignments
• Record tutoring sessions without explicit permission

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WHILE WE STRIVE TO HELP STUDENTS IMPROVE THEIR SCORES AND ACADEMIC PERFORMANCE, WE CANNOT GUARANTEE SPECIFIC RESULTS (EXCEPT WHERE EXPLICITLY STATED IN SCORE GUARANTEE PROGRAMS). INDIVIDUAL RESULTS VARY BASED ON MANY FACTORS INCLUDING STUDENT EFFORT, STARTING ABILITY, AND TIME INVESTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IVY TUTORING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE PAST SIX MONTHS.

13. Indemnification

You agree to indemnify and hold harmless Ivy Tutoring, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Services or violation of these Terms.

14. Privacy

Your use of our Services is also governed by our Privacy Policy. Please review our Privacy Policy to understand our data practices.

15. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or tutors
• Is harmful to our business or reputation
• Exposes us to legal liability

Upon termination, your right to use the Services will immediately cease. Unused session credits may be refunded at our discretion.

16. Dispute Resolution

Informal Resolution

If you have any concerns or disputes, please contact us first at Blake@ivytutoring.net. We will attempt to resolve the issue informally.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court. The arbitration shall take place in the United States.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Ivy Tutoring individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which Ivy Tutoring operates, without regard to conflict of law principles.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our website. Your continued use of our Services after changes become effective constitutes acceptance of the revised Terms.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ivy Tutoring regarding the use of our Services, superseding any prior agreements.
